Specific deliverables, timelines, pricing, and service obligations are governed by separate written agreements, proposals, estimates, statements of work (“SOWs”), or invoices. These Terms supplement all executed client agreements.
3. No Guarantee of Results
Marketing outcomes are influenced by numerous external factors beyond our control, including:
- Search engine algorithm changes
- Advertising platform policies
- Market conditions
- Competitor activity
- Consumer behavior
- Client responsiveness
- Technical infrastructure limitations
Accordingly, Fahrenheit Marketing does not guarantee:
- Search engine rankings
- Lead volume
- Revenue increases
- Advertising performance
- Conversion rates
- Website traffic
- ROI
- Specific business outcomes
Past performance does not guarantee future results.
4. AI-Assisted Services
Fahrenheit Marketing may utilize artificial intelligence (“AI”) tools, machine learning systems, automation platforms, large language models, and related technologies to assist with:

- Data analysis
- Coding assistance

- Creative ideation

AI-assisted outputs are subject to human review but may occasionally contain inaccuracies, omissions, hallucinations, or unintended similarities to third-party materials.
Clients acknowledge and accept the inherent limitations of AI-assisted systems. The Company does not warrant that AI-generated outputs are entirely original, error-free, or legally protectable. Clients remain responsible for final review and approval of all deliverables before publication or use.
5. Client Responsibilities
Clients agree to:
- Provide accurate and timely information
- Maintain lawful rights to submitted materials
- Respond to requests for approvals or feedback promptly
- Maintain backups of critical business data
- Review all deliverables prior to launch or publication
- Ensure compliance with applicable laws in their industry
Project delays caused by client inaction, delayed approvals, missing assets, or unavailable stakeholders may impact timelines and deliverables.
6. Intellectual Property
Unless otherwise agreed in writing:
- Fahrenheit Marketing retains ownership of proprietary processes, frameworks, methodologies, software, automation systems, scripts, templates, and internal tools.
- Clients retain ownership of their pre-existing trademarks, logos, and proprietary materials.
- Final paid deliverables may transfer to the client only after all outstanding invoices are paid in full.
The Company reserves the right to display completed work in portfolios, proposals, case studies, marketing materials, and industry award submissions unless otherwise prohibited by written agreement.
7. Third-Party Services and Platforms
Projects may involve third-party systems or vendors, including:
- Meta
- Shopify
- BigCommerce
- WordPress
- HubSpot
- Klaviyo
- AWS
- Hosting providers
- Payment processors
- Analytics platforms
- Advertising networks
- Plugins and integrations
Fahrenheit Marketing is not responsible for:
- Third-party outages
- API changes
- Platform suspensions
- Software vulnerabilities
- Hosting interruptions
- Service discontinuations
- Changes in platform policies or algorithms
Third-party fees remain the client’s responsibility unless explicitly stated otherwise.
8. Hosting and Security Disclaimer
Unless explicitly contracted for managed hosting and maintenance services, Fahrenheit Marketing is not responsible for:
- Website security
- Malware infections
- Server maintenance
- Backups
- SSL management
- Downtime
- Data loss
- Hosting-related failures
Even when maintenance services are provided, no system can be guaranteed fully secure. Clients are encouraged to maintain independent backups and cybersecurity protections.
9. Payment Terms
Invoices are due according to the payment schedule specified in the applicable agreement or invoice.
Late payments may result in:
- Suspension of services
- Delayed deliverables
- Removal of hosted assets
- Additional fees
- Collection activity
All fees paid are non-refundable unless otherwise stated in writing. The client is responsible for all taxes, duties, and governmental charges associated with services rendered.
10. Confidentiality
Both parties agree to maintain the confidentiality of proprietary or sensitive business information disclosed during the engagement.
Confidentiality obligations do not apply to information that:
- Is publicly available
- Was independently developed
- Was lawfully obtained from third parties
- Is required to be disclosed by law
11. Limitation of Liability
To the fullest extent permitted by law, Fahrenheit Marketing shall not be liable for:
- Indirect damages
- Consequential damages
- Lost profits
- Lost revenue
- Business interruption
- Data loss
- Reputational harm
- Advertising losses
- Search ranking losses
The Company’s total aggregate liability shall not exceed the total amount paid by the client to Fahrenheit Marketing during the three (3) months preceding the claim.
12. Indemnification
Clients agree to indemnify and hold harmless Fahrenheit Marketing and its officers, employees, contractors, and affiliates against any claims, damages, liabilities, costs, or legal expenses arising from:
- Client-provided materials
- Copyright infringement claims
- Regulatory violations
- Misleading advertising claims
- Client misuse of deliverables
- Unauthorized use of third-party content
13. Website Use Restrictions
Users may not:
- Attempt unauthorized access to systems
- Introduce malicious code
- Scrape or harvest website content
- Interfere with website operations
